Article I. Name and Purpose
The name of this Chapter shall be "South Georgia Chapter SDC". (Hereafter referred to as the Chapter).
The purpose of this Chapter shall be to promote a closer relationship among owners of Studebakers and related vehicles in the South Georgia area; to promote the expansion of membership; to encourage the acquisition, preservation, and use of Studebakers and related vehicles; to sponsor, organize, and effectuate social events, tours, and exhibitions associated with Studebaker and related vehicles; to publish periodically a newsletter highlighting Chapter news, stories, membership data and related information, and, further, to own property incident to publishing the official newsletter; to use the Internet (as understood in terms of the worldwide web) to advance Chapter information, including the development and continuing enhancement of a Chapter website; to execute non-specific activities and discharge such responsibilities as necessary to function as a chapter in the SDC.
Article II. Membership
Membership in the Chapter shall be open to anyone who has qualified for membership in the SDC according to the provisions of Article II of its by-laws. In the case of persons residing in the same household who hold joint membership in the SDC, only one set of Chapter dues shall be assessed and only one copy of the of any Chapter publication will be sent to the household: Upon payment of Chapter dues, any person meeting the SDC qualifications shall be a Chapter member in good standing for the fiscal membership year to which the dues apply. Membership in good standing shall exist so long as dues are not more than thirty (30) days in arrears (that is, overdue thirty (30) beyond the end of fiscal most recent membership year).
II-A. Types of Membership
Active Member
A person as qualified above. All rights and privileges of Chapter membership apply, including the right to vote and hold office.
Honorary Member
Any person so selected who, in the opinion of the Board of Directors (see Article IV), has made an outstanding contribution to the Chapter.
Honorary members shall be exempt from paying Chapter dues. Such members shall be continued as such on a yearly basis at the pleasure of the board. Honorary members shall not be invested with the right to vote in Chapter affairs nor the right to hold office.
Subscribers
Any person who elects NOT to become a member of SDC (thereby being disqualified as an "Active" member) but wishes to support the Chapter in advancing its purposes stated above, may become a supporting member subscribing to the Chapter newsletter at the cost of $20.00 per Chapter fiscal year. Supporting members shall not be invested with the right to vote in Chapter affairs nor the right to hold office. Subscribers shall only receive electronic Copies of the newsletter.
II-B. Expulsion
Expulsion is a power reserved to the Board of Directors. Expulsion from the Chapter can occur only after serious reasons for expulsion are submitted to the Board of Directors in writing, signed and attributed to a claimant, notice of expulsion intent and reasons for such action are sent to the member concerned, and such member is given 30 days to respond.
Article III. Dues
Dues for active members shall be $20.00 per Chapter fiscal year.
The Board of Directors may change the Dues at any time upon thirty (30) days prior written notice to the club membership.

Any change in dues shall be submitted to the voting membership by any process approved by the Board of Directors. Any change in dues must be ratified by a majority of voting members.
Article IV. Board of Directors
The Board of Directors shall be elected by a plurality-vote of qualified members voting at a membership meeting occurring in January of each year. The term of office for each office of the Board of Directors shall be one year beginning at the close of the business meeting in which the elections are held and continuing until the next election. Nominations shall be from the floor and may be made by non-voting members. Nominees need not be present if prior written consent is obtained.
The Board of Directors shall consist of five (5) elected and three (3) appointed offices. The elected offices shall be President, Vice President, Secretary, Treasurer, Assistant Treasurer. The appointed offices shall be Chaplain, Newsletter Editor(s), Website Master. The appointed officers shall be appointed by the Chapter President and shall be ex-officio members of the Board.
Article V. Duties of Chapter Officers
The President shall preside at all meetings. This officer shall appoint willing persons from the general membership to serve as assistants to other officers or serve on special or ad hoc committees. The President shall, when appropriate, name a Membership Director, Activities Director, or other positions to facilitate actions in those areas of the Chapter. The President shall have the power to decide all questions of equal division and other powers usually vested in the top administrative officer of an organization, including but not limited to liaison with the SDC and interchapter relations.
The Vice President shall assume all duties of the President when the President shall relinquish them out of necessity or preference. The Vice President shall work closely with the President in the affairs of suitable meets, judging contests, awards, and other Chapter functions.
The Secretary shall record the minutes of the Board of Directors and general membership meetings. The Secretary shall maintain all Historical files, and report communications as may be required. It is the Secretary and/or the Treasurers responsibility to answer all correspondence, communicate with all contacts made to and by the Chapter as directed by the Board of Directors.
The Treasurer shall collect and disperse funds of the Chapter, render the annual financial report of the Chapter, periodically communicate dues renewal notices to members, maintain current membership lists, and report the financial status of the Chapter as may be required. For the sake of publication mailings, the Treasurer shall coordinate with the newsletter editor(s) preparation and completion a membership roster. It is the Treasurers and/or the Secretary’s responsibility to answer all correspondence, communicate with all contacts made to and by the Chapter as directed by the Board of Directors.
The Assistant Treasurer shall assume all duties of the Treasurer when the Treasurer shall relinquish them out of necessity or preference.
Those serving in appointed offices shall serve in capacities as defined by the Board of Directors and as accepted by those appointees.
Article VI. Meetings
Meetings of the membership shall be at least twice per year with 30-days’ notice by the Board of Directors at times and places determined by the Board.
Article VII. Policy
Administration of the Chapter will conform to the provisions of the By-laws of SDC, which take precedence in the event of any conflict; and the Board of Directors of the Chapter will abide by the decisions of the Board of SDC.
The Chapter assumes all responsibility, financial and otherwise, for any activities it conducts. Any SDC applications or SDC dues received by the Chapter will be promptly forwarded.
Article VIII. Amendments
These by-laws can be amended by a two third vote of qualified members voting at a general membership meeting. Said meeting will be advertised one meeting in advance through a process to be determined by the Chapter Board of Directors. Such changes must be approved by the SDC Chapter Information and Chartering Committee.
